Board Committees


 
The board of directors is entrusted with a wide range of responsibilities in regard to oversight of The Foursquare Church. Although the board cannot delegate its decision-making responsibility and authority to any one portion of its members or to any other group, the board can and does assign committees to assist in the process of making informed decisions. At this time, the board has empowered 12 committees; each of these will be explained individually. As need dictates, additional committees can be established; committees can also be disbanded when the board of directors no longer needs assistance in the specific areas that the committees served.

Agenda Review Committee

The Agenda Review Committee, which serves as the gateway for placing items on board agendas, assists the board in transacting business more effectively and efficiently by enabling board members to be ready to discuss items in appropriately allocated time slots.

Audit Committee

The Audit Committee assists the board of directors of The Foursquare Church by overseeing the financial reporting, processes and policies of The Foursquare Church. This committee also appoints and reviews the performance of the independent accounting firm that conducts the church’s annual accounting audit.

This committee is responsible for reviewing the annual financial statements of The Foursquare Church, as well as any other pertinent financial information. This could include information regarding the accounting policies and practices that are in place, management certification, and the reports and opinions of the independent accountants.

The Audit Committee is responsible for conducting a periodic review of the programs and policies that are in place to ensure Foursquare’s compliance with laws and regulations as well as compliance with the church’s own ethical standards; should any complaints or concerns arise concerning these areas, the committee would investigate and process those appropriately. The committee can review and investigate matters of managerial integrity and standards of conduct. The committee is further empowered to take action in relation to any legal and regulatory matters that materially affect the financial statements of the church.

On occasion, other financial concerns that arise may be referred to the Audit Committee. In the process of executing its responsibilities, the committee can confer with legal counsel and with financial experts as necessary.

The Bylaw Committee assists the board of directors of The Foursquare Church by ensuring that the bylaws of The Foursquare Church continue to accommodate and facilitate the efficient administration of business and relationships. The bylaws are not static, but dynamic. The committee maintains and drafts changes to the bylaws, which are then periodically presented to the convention body, which either accepts or rejects the recommended changes.

The members of the committee can propose revisions, and proposals to revise the bylaws may come from the members, officers, ministers, directors, departments or committees. All proposed revisions are processed by the committee, which drafts the language and proposed revisions to be submitted to the board and the convention body.

The Bylaw Committee is responsible for submitting a written annual report to the board of directors and the president of The Foursquare Church. This committee also assists other board committees as requested and as directed by the board.

The Compensation Committee assists the board of directors of The Foursquare Church by overseeing the development and implementation of policies and guidelines for Foursquare employees, including executive officers. The committee ensures that the personnel hired have the appropriate skills to match the needs of The Foursquare Church.

The committee strives to offer competitive compensation so the church can retain the services of highly qualified employees. The committee practices good stewardship of the resources God provides and sees that compensation practices are fair and equitable.

The committee recommends to the board of directors the salary and benefits for the president. It advises the board in regard to the president’s recommendations for the compensation of the other executive officers. In regard to other employees, the compensation committee reviews salary ranges and sees that job classifications are accurate and appropriate.

The Doctrine and Licensing Committee assists the board of directors of The Foursquare Church by ensuring that leaders in The Foursquare Church are committed to the articles of faith and that a commitment to the church’s doctrine is passed on to subsequent generations. The committee is empowered to assist the board of directors and the president as they encourage and make sure that biblical truth is taught and preached in all of the institutions of the church.

The committee assists supervisors in assessing license candidates in regard to doctrinal soundness, personal maturity and church polity. It makes sure that supervisors use the denomination’s licensing manual and the prescribed interview process for license candidates. The committee also ensures that licensing materials are translated into as many languages as necessary to accommodate the need for qualified licensed ministers throughout The Foursquare Church.

The committee reviews the theological content of denominational publications, as requested by the president, the board of directors or the central office staff. The committee also helps convention planners provide workshops that emphasize Foursquare doctrine.

Three directors who serve three-month rotations

The Executive Committee assists the board of directors of The Foursquare Church by providing timely decisions regarding matters that clearly adhere to the policies that have been established by the board of directors. These transactions are generally property transactions, local church slogan name selections and pastoral staff changes.

The Executive Committee presents to the full board the minutes of each meeting. If necessary to facilitate the conduct of business for local churches, the full board will consider “out-of-policy” requests once a month.

The Finance Committee assists the board of directors of The Foursquare Church by providing advice and guidance in regard to the day-to-day financial processes of the church, particular in relationship to the central office.

The Finance Committee in one of the newest committees; it was established by the board in November 2008. The committee develops the annual budget for The Foursquare Church and presents it to the board of directors for approval. It also monitors the church’s financial performance on a monthly basis and makes a report to the board. Further, the Finance Committee, in cooperation with the office of the corporate treasurer, oversees the business operations of the central office.

The Governance Committee assists the board of directors of The Foursquare Church by developing, maintaining and publishing guidelines relating to corporate governance:

The working relationship between the president of the church and the board of directors
The role of the chairperson of the board
The process by which agendas are developed for board meetings
The organization of committees to assist the board to fulfill its responsibilities
The procedures for approving investments, purchases and movement of capital
The delegated powers and boundaries for the executive committee
The committee publishes a handbook that contains all of the guidelines, which it provides to the board for annual review.

The Governance Committee assists with the nominating process for new directors and is responsible for seeing that new board members are properly oriented. This committee also reviews the board’s committee structure, recommending members as required. The Governance Committee also develops and recommends an annual self-evaluation for the board, administers the evaluation, and reports the results to the board.

The Investment Committee assists the board of directors of The Foursquare Church by overseeing the investment assets of the church. The fundamental mandate for this committee is facilitating the mission and purposes of the church.

In overseeing the investment policy for The Foursquare Church, the Investment Committee selects and retains outside investment managers as necessary. The committee reviews the performance of the investments and monitors the asset allocation of each fund. Further, the committee periodically reviews the overall investment policies and objectives and recommends all necessary adjustments to the board of directors. Quarterly meetings are convened, and conference calls are scheduled as necessary.

The Missions Committee assists the board of directors of The Foursquare Church in its oversight of the international ministry of the U.S. Foursquare Church and its relationship with the global family. This committee also helps oversee missionary personnel, values, global strategy and structure.

The Missions Committee gives input regarding global Foursquare Church issues; compassion and relief ministries; as well as missionary recruitment, training, deployment, compensation and repatriation. The committee also guides the preparation of the annual budget and special projects, and it helps develop financial strategies. Further, the committee helps direct the communication of mission strategies and information to the Foursquare churches in the U.S.

The purpose of the National Church Committee is to serve the board of directors by examining current goals and procedures, and by making recommendations to ensure that The Foursquare Church is “church-centric” in its purpose, perspectives and procedures.

The Urban and Multicultural Committee of the Board exists to assist the Foursquare Church in effectively carrying the Foursquare gospel to a wide variety of people groups within the U.S.; to assist the Foursquare church to become more sensitized to the brokenness and neglect of our urban centers; and to consult with FMI and NCO in developing strategies of the Foursquare church to pursue its historic call of reaching many people groups and transforming urban centers. It exists to ensure a missional focus of reaching people from diverse cultural groups, in particular people of diverse language communities and people of color.
